1. Scope

These general terms and conditions (GTC) apply to all contracts, deliverables and services provided by thapps UG (haftungsbeschränkt) ("thapps") to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law or special funds under public law.

Conflicting or deviating terms of the client do not apply unless we have expressly agreed to them in writing.

2. Conclusion of contract and offers

Our offers are subject to change and non-binding unless expressly designated as binding. A contract is concluded upon our written order confirmation or upon commencement of performance.

3. Subject matter and services

The subject matter is the development, operation and distribution of software, apps, web applications, digital platforms and SaaS solutions as well as the provision of IT services, AI solutions and consulting, in each case in accordance with the individual agreement.

The scope of services results from the respective offer, order confirmation or project agreement. Individual agreements take precedence over these GTC.

4. Client's duty to cooperate

The client shall provide the information, content, materials and access required for performance in good time, completely and free of charge, and shall name a competent contact person.

Delays caused by cooperation that is missing, late or defective shall not be attributable to us.

5. Remuneration and payment

Remuneration is based on the respective agreement. Unless otherwise agreed, all prices are net plus statutory value-added tax.

Unless otherwise agreed, invoices are due for payment without deduction within 14 days of the invoice date.

6. Rights of use

Unless otherwise agreed, the client is granted the rights of use to the contractually agreed work results required for the contractually intended purpose upon full payment of the agreed remuneration.

We remain entitled to pre-existing know-how, tools, libraries and general components used in the course of providing the services.

7. Confidentiality

The parties undertake to treat as confidential all confidential information and business secrets obtained in the course of the cooperation and to use them only for the purposes of the contract.

8. Liability

We are liable without limitation for intent and gross negligence as well as for injury to life, body or health and under the German Product Liability Act (ProdHaftG).

In the event of a slightly negligent breach of a material contractual obligation (cardinal obligation), liability is limited to the foreseeable damage typical for the contract. Any further liability is excluded.

9. Final provisions

The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction is our registered office, provided the client is a merchant, a legal entity under public law or a special fund under public law.

Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
